NDS Group, a provider of technology solutions for digital pay-TV, acquires 100% of the share capital of Jungo, a developer of residential gateway software, for an aggregate consideration of up to $107.5 million in cash. This includes $17 million of earn-out payment contingent on the attainment of certain fiscal targets for the 12-month period following completion. Completion is expected to occur during the first calendar quarter of 2007. In the nine months ending 30 September 2006 Jungo's revenues grew by more than 100 percent to USD 11.4 million. Jungo will continue to operate as a separate unit within NDS under the leadership of the current management team.
